Terms of Use

By creating an account, accessing, or using the Services, you agree to these Terms and to the policies incorporated into them. If you do not agree, do not use the Services.

1. Related Policies

The following policies, when made available, form part of these Terms:

• Privacy Policy;
• Community Guidelines;
• Dating Safety Center;
• Event and Ticketing Terms;
• Refund and Cancellation Policy;
• Organizer Terms; and
• any additional terms presented for a particular feature, promotion, purchase, or country.

If additional terms conflict with these Terms, the additional terms control only for the feature or transaction they address.

2. Eligibility and Age Requirement

You must be at least 18 years old to create an account or use Chillz. By using the Services, you represent and warrant that:

• you are at least 18 years old;
• you have the legal capacity to enter into these Terms;
• you are not prohibited by applicable law from using the Services;
• you have not previously been removed from Chillz for a serious safety violation, fraud, or illegal activity unless Chillz has expressly authorized your return; and
• the information you provide is accurate and not misleading.

Chillz may request age or identity verification. Failure to complete a required verification may result in limited access, suspension, or termination.

3. Availability of the Services

Chillz may be accessible internationally, but not every feature is available in every country. Paid event creation, internal ticket sales, organizer payouts, and other commercial features may be limited to supported jurisdictions. During the initial launch, internal paid ticketing and paid organizer services are intended to be available only in the United States.

You are responsible for ensuring that your use of the Services is lawful where you are located. Chillz may restrict features or access based on geography, legal requirements, safety, technical availability, or business considerations.

4. Accounts and Security

You may create only accounts that you are authorized to create. You agree to:

• provide accurate and current information;
• maintain the confidentiality of your login credentials;
• promptly update information that changes;
• promptly notify Chillz of suspected unauthorized access; and
• accept responsibility for activity conducted through your account, except to the extent caused by Chillz's failure to use reasonable care.

You may not sell, transfer, rent, or share an account. Chillz may require telephone, email, device, age, identity, or organizer verification to protect the Services and other users.

A verification badge or status means only that a particular verification process was completed at a particular time. It is not a guarantee of a person's identity, intentions, background, safety, or future conduct.

5. License to Use Chillz

Subject to these Terms, Chillz grants you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Services for their intended purposes.

Except where applicable law permits otherwise, you may not copy, modify, distribute, sell, lease, reverse engineer, scrape, crawl, extract, or attempt to obtain the source code of any part of the Services. You may not use automated systems to access Chillz without written permission.

Chillz and its licensors retain all rights in the Services, including software, designs, trademarks, logos, interfaces, databases, and original content provided by Chillz.

6. User Content

"User Content" means content you submit, post, transmit, record, or otherwise make available through the Services, including profiles, photos, videos, audio, posts, stories, comments, event listings, messages, and reviews.

You retain ownership of your User Content. You represent and warrant that:

• you own the User Content or have all rights needed to use and share it;
• the User Content does not violate law, these Terms, the Community Guidelines, privacy rights, publicity rights, intellectual-property rights, or other rights; and
• any person visibly featured in User Content has provided any permission required by law.

License to Chillz

You grant Chillz a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, adapt for technical formatting, transmit, display, and distribute your User Content only as reasonably necessary to:

• operate and provide the Services;
• display content according to your actions and settings;
• enable sharing, tagging, event associations, and other features you choose to use;
• secure, moderate, troubleshoot, and improve the Services; and
• comply with law and enforce these Terms.

This license ends when your User Content is deleted from Chillz's active systems, except to the extent that:

• another user has independently shared or retained content through an authorized feature;
• temporary backup copies remain during the ordinary deletion cycle;
• retention is reasonably necessary for safety, fraud prevention, a dispute, or legal compliance; or
• the content has been de-identified and can no longer reasonably be linked to you.

Chillz will not use your User Content in external advertising that identifies or prominently features you without separate permission. Normal display of User Content inside Chillz, on a Chillz event page, or through a sharing feature you activate is not an external advertising use.

7. Social Features and Messaging

Chillz may allow users to follow, message, tag, invite, block, report, and share content with one another. You control your interactions and should use available privacy, visibility, reporting, and blocking tools.

Private messages are not routinely reviewed by Chillz. If a message or conversation is reported, authorized personnel may review the reported material and a limited amount of surrounding context. Chillz may also preserve or disclose communications when required by law or reasonably necessary to address an emergency or serious safety concern.

You may not use messaging to harass, threaten, deceive, solicit money, distribute illegal material, send spam, evade a block, or coordinate conduct prohibited by these Terms.

8. Dating and Real-World Meetings

Chillz helps users discover people, places, activities, and events. Chillz does not guarantee compatibility, identity, background, intentions, availability, or conduct.

You are responsible for your decisions and interactions, including communications, travel, meetings, dates, purchases, and attendance at events. Exercise caution, use the Dating Safety Center, meet in public places, arrange your own transportation, tell someone you trust about your plans, and contact emergency services when immediate assistance is needed.

Do not send money or financial information to another user. Report suspected romance scams, impersonation, threats, coercion, or unsafe conduct.

Where required by law or reasonably necessary for safety, Chillz may notify users who communicated with a profile banned for suspected false identity or financial fraud.

9. Events and Tickets

Chillz may allow users to discover, create, promote, share, reserve, purchase, and attend events.

Unless Chillz is identified as the organizer or seller, the event organizer is responsible for the event, including its description, legality, accessibility, venue, capacity, age restrictions, schedule, performance, safety, ticket inventory, taxes, and organizer-provided refund terms.

Chillz is responsible as seller for events directly organized and sold by Chillz. Additional Event and Ticketing Terms and the Refund and Cancellation Policy apply to tickets sold through Chillz.

If an internally ticketed event is cancelled, Chillz intends to process refunds automatically in accordance with the applicable refund policy. A material change to the date, time, or venue may also create a right to request a refund.

For events ticketed through an external provider, Chillz may display event information and redirect you to that provider. The external provider's terms, privacy policy, pricing, fees, availability, and refund rules govern the external purchase.

Event listings and availability may change. Except where Chillz is the organizer or applicable law requires otherwise, Chillz does not control or guarantee the quality, legality, accuracy, safety, or occurrence of third-party events.

10. Organizers

Anyone using organizer features must comply with the Organizer Terms and all applicable laws. Organizers must provide accurate identity, business, banking, tax, venue, ticket, capacity, age-restriction, and event information.

Organizers may not create fictitious, misleading, illegal, infringing, unsafe, or unauthorized events. Chillz may require verification, delay or suspend payouts, maintain reserves, refuse an organizer advance, cancel listings, issue refunds, or report suspected misconduct where permitted by the Organizer Terms and applicable law.

Except for events directly organized by Chillz, the organizer is the seller of the ticket. Chillz acts as the technology platform and payment intermediary as further described in the Event and Ticketing Terms and Organizer Terms.

11. Payments, Fees, and Refunds

Prices, fees, taxes, currency, refund conditions, and the identity of the seller will be disclosed during the applicable purchase flow. Payment services may be provided by a third-party payment processor.

You authorize the applicable seller and payment provider to charge the payment method you select for the disclosed amount. You are responsible for providing accurate billing information and for charges you validly authorize.

Ticket purchases, organizer payouts, disputes, chargebacks, refunds, service fees, and organizer advances are governed by the Event and Ticketing Terms, Refund and Cancellation Policy, Organizer Terms, and any terms displayed at checkout.

Chillz dating features are free during the MVP. If Chillz introduces subscriptions or recurring paid features, Chillz will disclose the price, billing frequency, renewal terms, trial terms, and cancellation method before charging you and will obtain any consent required by law.

12. Prohibited Conduct

You may not use Chillz to engage in, encourage, facilitate, or attempt any of the following:

• Use by, solicitation of, or sexual content involving anyone under 18.
• False age information, impersonation, fake identities, deceptive verification, or misleading profiles.
• Harassment, stalking, threats, intimidation, bullying, hate, or discrimination.
• Non-consensual intimate content, sexual exploitation, coercion, trafficking, or sexual services prohibited by law.
• Romance scams, requests for money, investment schemes, phishing, identity theft, payment fraud, or financial manipulation.
• Violence, credible threats, terrorism, weapons trafficking, or instructions to commit serious harm.
• Illegal drugs, illegal gambling, or other unlawful goods, services, or conduct.
• Spam, unauthorized advertising, pyramid schemes, or repeated unwanted communications.
• Collecting, publishing, or exploiting another person's private information without authorization.
• Uploading malware, interfering with the Services, bypassing security, or probing systems without authorization.
• Scraping, automated account creation, bot activity, unauthorized data extraction, or training models on Chillz data without written permission.
• Copyright, trademark, privacy, publicity, or other rights violations.
• Fake events, misleading ticket inventory, undisclosed material event changes, fraudulent check-ins, or misuse of organizer funds.
• Circumventing required payment flows, fees, safety controls, sanctions, suspensions, or bans.
• Filing knowingly false reports, refund requests, copyright notices, or chargebacks.

This list is not exhaustive. The Community Guidelines may provide additional examples and enforcement standards.

13. Reporting, Blocking, and Moderation

Chillz provides tools to report content, accounts, messages, events, or conduct and to block abusive users. Chillz may use human review, technical signals, and proportionate automated tools to review public content, account behavior, reports, fraud, spam, and security threats. Chillz does not routinely scan private-message content for general moderation during the MVP.

Chillz may remove content, reduce distribution, disable features, require verification, issue a warning, suspend an account, cancel an event, withhold or delay a payout where authorized, or permanently terminate access when Chillz reasonably believes that action is necessary to:

• enforce these Terms or incorporated policies;
• protect users or other people;
• investigate fraud, illegal activity, or security incidents;
• comply with law or a valid legal request; or
• protect the integrity of the Services.

Chillz may act immediately and without prior notice in cases involving danger, fraud, exploitation, illegal activity, evasion of enforcement, security threats, or other serious violations. For less serious issues, Chillz may provide notice or an opportunity to correct the conduct where appropriate.

Where available, you may appeal an enforcement decision through the in-app process or by contacting support@chillz-app.com. An appeal does not require Chillz to restore content or access while the review is pending.

14. Copyright and DMCA

Chillz respects intellectual-property rights. If you believe content on Chillz infringes your copyright, you may send a notice to:

A copyright notice should include the information required by 17 U.S.C. § 512(c)(3), including:

• identification of the copyrighted work;
• identification and location of the allegedly infringing material;
• your contact information;
• a statement of good-faith belief that the use is unauthorized;
• a statement, under penalty of perjury, that the notice is accurate and that you are authorized to act for the rights holder; and
• your physical or electronic signature.

Chillz may remove or disable access to allegedly infringing material and may notify the user who posted it. Users may submit a legally valid counter-notification. Chillz may terminate accounts of repeat infringers in appropriate circumstances.

Knowingly submitting a false or materially misleading copyright notice or counter-notification may create legal liability.

15. Third-Party Services

The Services may contain links to, integrations with, or content from third-party services, including maps, venues, ticketing providers, payment processors, identity-verification services, and social-sharing services.

Chillz does not control third-party services and is not responsible for their independent actions, availability, security, content, or terms. Your use of a third-party service is governed by your agreement with that provider.

Reference to a third-party service does not imply sponsorship, endorsement, or partnership unless Chillz expressly states otherwise.

16. Feedback

If you voluntarily provide ideas, suggestions, or feedback about Chillz, you grant Chillz a worldwide, perpetual, irrevocable, royalty-free right to use that feedback without restriction or compensation. This does not transfer ownership of your User Content or permit Chillz to use your identity in external advertising without permission.

17. Account Deletion and Termination

You may stop using Chillz at any time and may request account deletion through the available settings or by contacting support@chillz-app.com. Deleting the application from your device does not delete your account.

Chillz may suspend or terminate your access as described in these Terms. Upon termination, your license to use the Services ends immediately.

Provisions that by their nature should survive termination will survive, including provisions concerning ownership, completed transactions, retained safety or financial records, disclaimers, limitations of liability, indemnification, disputes, and general legal terms.

Account and data deletion are handled in accordance with the Privacy Policy and applicable law.

18. Service Changes and Availability

Chillz may add, modify, suspend, or discontinue features. Chillz will provide notice when required by law or when a change materially affects an active paid service.

Chillz does not guarantee that the Services will always be available, uninterrupted, error-free, or compatible with every device. Maintenance, security incidents, provider outages, legal restrictions, or events outside Chillz's reasonable control may affect availability.

19. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." CHILLZ DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

CHILLZ DOES NOT WARRANT THAT:

• ANY USER IS WHO THEY CLAIM TO BE OR WILL ACT SAFELY OR LAWFULLY;
• A MATCH, DATE, RELATIONSHIP, EVENT, VENUE, ORGANIZER, LISTING, OR RECOMMENDATION WILL MEET YOUR EXPECTATIONS;
• USER OR THIRD-PARTY CONTENT IS ACCURATE, COMPLETE, OR CURRENT;
• THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; OR
• VERIFICATION, MODERATION, REPORTING, OR SAFETY FEATURES WILL IDENTIFY OR PREVENT EVERY RISK.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHILLZ AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, OPPORTUNITY, OR REPUTATION, ARISING FROM OR RELATING TO THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHILLZ'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

• THE AMOUNT YOU PAID DIRECTLY TO CHILLZ DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
• USD $100.

These limitations do not apply to liability that cannot legally be limited or excluded, including where applicable liability for fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or mandatory consumer rights.

Some jurisdictions do not allow certain exclusions or limitations, so some of the provisions above may not apply to you.

21. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Chillz and its directors, officers, employees, affiliates, and agents from third-party claims, damages, liabilities, losses, and reasonable legal expenses arising from:

• your unlawful use of the Services;
• your User Content;
• your material breach of these Terms or incorporated policies; or
• your violation of another person's rights.

This obligation does not apply to the extent a claim results from Chillz's own unlawful conduct, negligence, or breach, and it does not limit rights that cannot be waived under applicable consumer law.

22. Governing Law and Courts

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

Unless applicable law requires otherwise, any dispute arising from or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Delaware, and you and Chillz consent to their jurisdiction.

If you are a consumer, this choice of law and forum does not deprive you of mandatory protections or rights available under the law of your country, state, or province of residence. You may have the right to bring a claim in another competent court where mandatory consumer law permits.

These Terms do not require individual arbitration and do not contain a class-action waiver.

Before filing a claim, you and Chillz are encouraged, but not required, to attempt to resolve the dispute informally by sending a written description to support@chillz-app.com. This informal process does not shorten or suspend any legal deadline unless both parties agree in writing.

23. Compliance With Law

You must comply with applicable laws, including sanctions, export-control, anti-corruption, consumer-protection, tax, intellectual-property, safety, and event laws.

You may not use the Services if doing so would cause Chillz to violate applicable trade restrictions or sanctions. Chillz may restrict transactions, payouts, or accounts to comply with legal obligations.

24. Changes to These Terms

Chillz may update these Terms as the Services evolve. The updated Terms will display a new revision date.

For material changes, Chillz will provide notice through the Services, by email, or through another appropriate channel before the changes take effect where required by law. If you do not agree to updated Terms, you must stop using the Services and may delete your account.

Changes will not retroactively alter completed transactions or disputes unless permitted by law and clearly disclosed.

25. General Terms

These Terms and the incorporated policies constitute the entire agreement between you and Chillz concerning the Services, except for additional written terms that apply to a specific feature or transaction.

If a provision is found unenforceable, it will be modified only to the minimum extent necessary, and the remaining provisions will continue in effect.

Chillz's failure to enforce a provision is not a waiver. You may not assign these Terms without Chillz's written consent. Chillz may assign these Terms as part of a merger, acquisition, restructuring, or transfer of the Services, subject to applicable law.

Headings are for convenience only. The words "including" and "such as" mean "including without limitation."
